Foreign-Invested Partnership Enterprise



Establishment
1. Application Form for Establishment Registration of the Foreign-invested Partnership Enterprise.
2. Pre-Approval Notice of the enterprise name.
3. Documents related to the use of domicile(including contract, property ownership certificate, etc.).
4. Certificate of incorporation or ID certificate and the domicile certificate of the partners.
5. Confirmation of all partners for the subscribed or paid-up capital of each partner.
6. Bank reference issued by financial institutions.
7. Partnership agreement signed by all partners.
8. Statement in compliance with foreign investment industrial policies as signed by all partners.
9. Power of attorney for the executive partners jointly entrusted by all of the partners.
10. Relevant documents issued by Shanghai Administration of Foreign Exchange (In case the foreign partner pays the subscribed capital by returned earning).
11. Power of attorney for acceptance of legal documents.
12. The pre-set approval documents in case the establishment of a foreign-invested partnership enterprise is subject to the approval as required in relevant laws, administrative regulations or regulations of the State Council.
13. Other documents if necessary.

Modification
1. Application Form for Modification Registration of the Foreign-invested Partnership Enterprise.
2. The decision on modification signed by all partners or the person as agreed in the partnership agreement.
3. Amendment to the partnership agreement or the amended partnership agreement signed by all partners.
4. Business License.
5. The following documents should also be submitted where relevant registration items are modified:
(1) Modification of enterprise name: Pre-Approval Notice of the change of the enterprise name.
(2) Modification of business scope: Statement on being in compliance with foreign investment industrial policies signed by all partners, documents of pre-set approval where the business scope covers any business which is subject to approval prior to registration.
(3) Modification of domicile: Documents related to the use of domicile(including contract, property ownership certificate, etc.).
(4) Modification of executive partner: The signatures on the relevant application documents shall be notarized by a legally-recognized Chinese notarization institution. In case the new executive partner is a foreign enterprise, Chinese legal person or another organization, the power of attorney issued to the appointed representative and the identity certificate of the appointed representative shall also be submitted.
(5) Modification of the subscribed capital contribution: Confirmation of all partners for the subscribed capital contribution. (In case the foreign partner increases the subscribed capital by returned earning, the relevant documents issued by Shanghai Administration of Foreign Exchange should be submitted.)
(6) Modification of partners (a new partner joins the partnership): Certificate of establishment or ID certificate of the new partner, domicile certificate, confirmation of all partners for the subscribed capital contribution, bank reference issued by financial institutions which have business contact with the new partner and the transfer agreement for equity taken over.
(7) Modification of partners (any partner withdraws from the partnership): Confirmation of all partners for the subscribed or actually paid capital of each partner.
(8) Modification of name of partners: Change of name certificate of the partner.
(9) Modification of domicile of partners: Change of domicile certificate of the partner.
6. Other documents if necessary.

Deregistration
1. Application Form for Deregistration of Foreign-invested Partnership Enterprise.
2. The decision on deregistration signed by all partners or the person as agreed in the partnership agreement.
3. The liquidation report signed by all partners.
4. The public announcement of deregistration in the newspaper.
5. Certificate for deregistration of all branches.
6. Business License.
7. Clearance certificate issued by taxation bureau and the Customs.
8. Other documents if necessary.

Note:
If the above-mentioned documents are written in a foreign language, they should be translated and the Chinese version with the seal of the translation company should be submitted.
