Foreign Enterprise Representative Office


Establishment
1. Application Form for Establishment Registration of the Foreign Enterprise Representative Office.
2. Certificate of Incorporation of the foreign enterprise in existence for at least 2 years and the Domicile Certificate of the foreign enterprise.
3. Articles of Association of the foreign enterprise.
4. Power of Attorney or other authorization certificate to foreign enterprise’s authorized representative issued by the foreign enterprise.
5. Appointment Letter of the (Chief) Representative(s) and their ID certificate.
6. Bank reference indicating the financial credibility of the foreign enterprise issued by the financial institution.
7. Resume of the (chief) representative(s).
8. Documents related to the use of domicile(including contract, property ownership certificate, etc.).
9. Approval documents issued by the examination and approval authorities (if necessary).
10. Other documents if necessary.

Modification
1. Application Form for Modification Registration of the Foreign Enterprise Representative Office.
2. Certificate of Registration and the Certificate of the representative(s).
3. The following documents shall be submitted where relevant registration items are modified.
(1) Modification of office name: Certificate of Incorporation of the foreign enterprise in existence for at least 2 years and its bank reference.
(2) Modification of chief representative: Registration Form of Chief Representative, Appointment Letter of the new Chief Representative, his/her C.V., ID certificate and the Dismissal Letter of the former Chief Representative.
(3) Modification of domicile: Documents related to the use of domicile(including contract, property ownership certificate, etc.).
(4) Modification of duration: Certificate of Incorporation of the foreign enterprise in existence for at least 2 years and its bank reference.
(5) Modification of the foreign enterprise ’s name and domicile: Change of Name Certificate and the Domicile Certificate of the foreign enterprise.
4. Document of approval issued by the approving authority if required.
5. Other documents if necessary.

Deregistration
1. Application Form for Deregistration of the Foreign Enterprise Representative Office.
2. Clearance certificate issued by taxation bureau.
3. Proof issued by the Customs and the foreign currency authority.
4. The document of approval issued by the approving authority if required.
5. Certificate of Registration and the Certificate of the representative(s).
6. Other documents if necessary.

● Note:
If the above-mentioned documents are written in a foreign language, they should be translated and the Chinese version with the seal of the translation company should be submitted.
All documents issued overseas should be notarized and verified by the local authority, and shall be authenticated by the Chinese embassies or consulates in their respective countries.
